Main criteria of review for filing an annual return of public company and of company without share capital

The main criteria of review of the form HE32Δ and HE32XK are:
- company name and number;
- all details in form must be completed (where applicable);
- return date (the annual return is made up until the return date, as this is determined in 120(1A) of the main Law);
- due/overdue;
- officer’s signature (in case where the officer is a company, the company seal is required;
- in case of annual return of public company (HE32Δ) a list of shareholders in alphabetic order and signed by a director or secretary must be submitted.
Most common reasons for rejection of form by the examiner:
- the form submitted is not the statutory form. The statutory forms are available on the webpage and at the offices of the Department;
- the necessary accompanying documents have not been attached, including the financial statements L89(I)/2015;
- the made up date of HE32 is incorrect (see instructions above);
- failure to complete/submit the above details;
- the annual returns of previous years have not been submitted to the Department.
