Voluntary Strike off an Overseas Company
Filing an application for strike off
An overseas company, that has cease to have place of business in the Republic of Cyprus, must submit an application to the Registrar of Companies for its strike off.
You may submit a letter signed by the company’s directors, by hand/post, which must necessarily include the following:
- name and company number;
- reference that the company has no assets and liabilities;
- signature of authorised person;
- reference that it does not conduct any business.
It is noted that the date mentioned in the letter shall be considered the date that the company has ceased to have a place of business in the Republic of Cyprus, otherwise it shall be deemed the date of lthe submission letter.
You are advised to refer to the main criteria of review and the most common reasons for rejection, so as to acquire a better understanding of what is required information and to facilitate the process further.
Provided that, the Registrar of Companies is satisfied that all relevant requirenments have been met he will proceed with registering the application and make the relevant publication in the Official Gazette of the Republic of Cyprus that the company has been struck off from the register from the date of the notice and the status of the company on the register is updated.
In the event that an overseas company requires the issue of a Certificate of strike off, it may request to submit obtain certified copies/certificates of an overseas company.
