Establishing overseas company’s place of business

Certificate of Incorporation 

Provided that the Registrar of Companies is satisfied that all the relevant legal requirements for the establishment of the place of business of an overseas company have been met, he will proceed with the publication of the overseas company to the official gazette registration and  the issuance of the certificate of submission of overseas company’s documents.

The issuance of the certificate of submission of overseas company’s documents constitutes undisputable evidence that all the legal requirements regarding its registration, as well as all relevant steps preceding its registration have been complied with. The overseas company registration number is stated on the certificate of submission of overseas company’s documents.

The certificate of submission of overseas company’s documents may be obtained either via e-filing (in case of electronic submission of the application) or from the Department’s post office boxes or by post.

Certified Copies 

Optionally, by paying the amount of one-hundred and twenty euros (€120) accompanied with a certified copy of the constitutional documents, or at the cost of one-hundred and thirty euros (€130) if no copy is attached along with and the a fee of one-hundred euros (€100) for the accelerated process, the following are issued:

  • Certified copy of submission of overseas company’s documents;
  • Certificate of Authorised Persons;
  • Certificate of Directors of Overseas Company;
  • Certificate of Address of Place of Business of an overseas company;
  • Certified copy of Overseas Company’s Memorandum and Articles of Association.

Confirmation of Authenticity of e-certificates

The certificates and the certified true copies that are issued electronically are marked with an authenticity code. The authenticity of documents can be confirmed electronically for a period of ninety (90) days from date of their issue.
