Transfer of SE registered office outside the Republic of Cyprus
Filing an application for the transfer of SE registered office outside the Republic
You may submit the form for transfer of SE outside the Republic of Cyprus (form ED6) by hand/post, accompanied by the following documents:
- report explaining and justifying the legal and economical aspects of the transfer and the consequences on the shareholders, creditors and employees;
- copy of resolution for the SE transfer approrved by the general meeting’s;
- declaration of solvency by the members of SE (form ED9) accompanied by the statements of assets and liabilities of SE;
- declaration by the Tax Department and the Social Insurance Services that the company does not owe taxes and duties;
- certified and approved interim accounts;
- a total fee for the above two forms of forty euros (€40). In case you wish to accelerate the process, an additional fee of twenty euros (€20) per form must be paid per form.
The above fees are payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank transfer.
You are advised to refer to the Explanatory Notes of form ΕΔ6 and Explanatory Notes of form ΕΔ9 so as to acquire a better understanding and to facilitate the procedure.
Αs from February 12th, 2021, the redesigned forms ΕΔ6 and ΕΔ9 have been implemented.
Provided that the Registrar of Companies is satisfied that all legal requirements have been met accordingly, he will proceed with the registration of transfer of SE outside the Republic of Cyprus and the issuance of a certificate which confirms the execution of deeds and formulations before the transfer.
