Updating officers

An officer of a European Economic Interest Grouping (EEIG) includes a person appointed as director or authorised by a director, who assumed in writing the exercising of the authority provided or other person whose position and duties are expressly provided by the EEIG contract.

Following its registration, an EEIG may proceed with changes in relation to its officers, such as appointment, termination/resignation of an officer, or changes with regards to an officers’ personal details (e.g. change of name and address).

What are the prerequisites for someone to be appointed as officer?

An EEIG, with seat in the Republic of Cyprus, must submit to the Registrar of Companies, within fifteen (15) days from the date of change, notification of appointment of officers or of change to their details by form ΕΟΟΣ3 and notification of termination of officer or officer’s representative of EEIG by form ΕΟΟΣ6.

At the same time, an EEIG with seat outside the Republic of Cyprus, must submit to the Registrar of Companies, within thirty (30) days from the date of change, notification of appointment of officer, of change to details and of termination thereof by ΕΟΟΣ4.

Registering change

You can submit the notification of appointment, change of their details, or termination of an EEIG's officers, depending on the case, by hand/post, by submitting:

• form ΕΟΟΣ 3 for the notification of appointment or change to their details of officers of an EEIG with seat in the Republic of Cyprus, accompanied by the fee of forty euro (€40); or
• form ΕΟΟΣ 6 for the notification of termination of officers or officer’s representative of an EEIG with seat in the Republic of Cyprus, accompanied by the fee of twenty euro (€20); or
• form ΕΟΟΣ 4 for the notification of appointment, change to their details, and termination of officers of an EEIG, with seat outside the Republic of Cyprus, accompanied by:
  • notice of appointment, change to details or termination of officer of an EEIG with seat outside the Republic of Cyprus;
  • certified translation of the notice, either by an affidavit or by sworn translator of the Republic of Cyprus, in case where it is in a language other than Greek; and 
  • fee of forty euro (€40) in case of appointment or change to details or the fee of twenty euro (€20) in case of termination of officer.

In case you wish to accelerate the process, an additional fee of twenty euro (€20) is required. It is noted that, in case you wish the issue of a certificate, you can alternatively pay the additional expedition fee with the certificate issue fee, rather than with the form for change.

The fees are payable in cash, by cheque, via an account maintained with the Department of the Registrar of Companies or by bank transfer.

Provided the Registrar of Companies is satisfied that all legal requirements, depending on the case, have been met, he proceeds with the filing of the change of officers, the updating of the register of the Registrar of Companies and the notifies the Publications Office of the European Union accordingly.

In the event that the EEIG requires proof of the change made in the register, it may request to obtain certified copies of the change.
