Filing application for the incorporation of a subsidiary European Company

Once your proposed name has been approved and provided that you have taken the relevant decisions, you may proceed with the submission of the application for the incorporation of a subsidiary European company (SE) in the Republic of Cyprus.

You may submit the form for the incorporation of a subsidiary SE (form ED3) to the Registrar of Companies, by hand/post, accompanied by the following:

• a certified memorandum and articles of association and its certified translation in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus;
• a certified translation of the memorandum and articles of association in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus, in case you wish to open a file of translations for obtaining certified copies of the memorandum and articles of association in a foreign language;
• registration certificate of the pre-registered subsidiary company;
• permission, consent or pre-approval, by the appropriate competent governmental authority or approrpiate body in case it is neccessary for the use of words or expressions and/or due to the nature of business respectively, in case it has not submitted already with the application for name approval;
• copies of resolutions of companies and/or SE pursuing the incorporation for the share capital and approving the role of employees and their certified translations in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus;
• the fee of one hundred and five euros (€105), and an additional fee of one hundred euros (€100) in case you wish to accelerate the procedure (payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank transfer).

You are advised to refer to the Explanatory Notes of form ED3 so as to acquire a better understanding of the required information and to facilitate the procedure.
