Filing the draft terms for conversion to SE

The board of directors of the public company draws up the draft terms for the conversion of a public limited liability company into a European Company as well as a report whereby explaining and justifying the legal and economical aspects elements of the conversion and stating the consequences it shall have on the shareholders as well as the employees.

The draft terms of the conversion is submitted with the Registrar of Companies with  the form ED4(I) and is published.

You may submit the form ED4(I) to the Registrar of Companies by hand/post, accompanied by:

• the draft terms of conversion of public company into European Company (SE);
• a certified translation of the draft terms of conversion in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus;
• the amount of twenty euros (€20) and an additional fee of twenty euros (€20) in case you wish to accelerate the procedure (payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank order).

At the same time, the draft terms of conversion is sent at the email address  eachilleos@drcor.meci.gov.cy.

You are advised to refer to the Explanatory Notes of form ΕΔ4 (Ι) so as to acquire a better understanding and  to facilitate the procedure.

Αs from February 12^th, 2021, the redesigned form ED4(I) has been implemented.  

Provided that the Registrar of Companies is satisfied that all legal requirements have been met accordingly, he will proceed with the registration of the SE draft terms and the publication to the Official Gazette.

Before the general meeting, one or more independent experts confirm that the company assets are equal to the capital.

The general meeting of the SE approves the draft terms of conversion and the articles of association of the proposed European Company.
