Submission of application for conversion of a public company to an SE

Once your proposed name has been approved and provided that you have taken the relevant decisions and submitted the draft terms of incorporation, you may proceed with the submission of the application for the conversion of a public limited liability company into a European Company (SE) in the Republic of Cyprus.

You may submit the form for the conversion of a public limited liability company (form ED4) to the Registrar of Companies, by hand/post, accompanied by the following:

• resolution approving the constitution and the draft terms of conversion from a public limited liability company into an SE in accordance with article 37(7) of Council Regulation (EC) no. 2157/2011;
• a certified memorandum and articles of association in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus,
• a certified translation of the memorandum and articles of association in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus,in case you wish to open a file of translations for obtaining a certified copies of the memorandum and articles of association in a foreign language;
• certified copies from exprerts according to the article 37(6) of Council Regulation (EC) no. 2157/2001;
• a report explaining and justifying the legal and economical aspects of the conversion and indicating the consequences of choosing the corporate type of SE for the shareholders and employees in accordance with article 37(4) of Council Regulation (EC) no. 2157/2001;
• permission, consent or pre-approval, by the appropriate competent governmental authority or approrpiate body in case it is neccessary for the use of words or expressions and/or due to the nature of business respectively, in case it has not submitted already with the application for name approval;
• the amount of twenty euros (€20), and an additional fee of one hundred euros (€100) in case you wish to accelerate the procedure (payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank transfer).

You are advised to refer to the Explanatory Notes of form ΕΔ4 so as to acquire a better understanding and to facilitate the procedure.

Αs from February 12^th, 2021, the redesigned form ED4 has been implemented.
